We begin with a fundamental assessment of the optimal timing to launch a sale process in order to achieve the transaction which meets your objectives:

is there a credible executive manangement team to lead the business post-transaction?

The answers to these and other questions will determine when to launch and what changes should be made to the business ahead of time to maximise the outcome through the sale process.
MARKETING
We will work with you to develop a compelling information memorandum which highlights the company's key competitive strengths and incorporates a detailed analysis of the historic financial record together with a substantiated growth forecast.

We will also agree with you a targeted list of potential counterparties to approach in confidence on your behalf. This may include trade and private equity buyers.
EXECUTION
We will solicit indicative offers for the business based on the information memorandum and meetings with management, and then negotiate with interested parties to optimise the terms of a deal.

Once agreed, a preferred party is selected which then has a set period of time to complete detailed due diligence and to negotiate legally binding documentation.

At Winkworth Corporate Finance, we offer a senior hands-on approach to our clients.
If you choose to appoint us, the person you shake hands with at your first meeting will be the one who manages your process from start to finish - there's no junior team that get substituted in at the last moment.

We are completely independent and only offer M&A advisory services - we are therefore not motivated to cross-sell other services to you. We do always work with other professional service providers in the course of an assignment, typically legal and tax advisers, and whilst we are happy to make recommendations, it will be your decision as to whom to retain.

Our fees are largely contingent upon the successful completion of the process. As this rightly remains your decision to the point of executing legally binding documentation, it is critical both for us and for you to ensure that we are both confident of achieving your objectives before we embark upon a process which will typically last for a minimum of 6 months.

That is why we ask for a lot of information before accepting a mandate - rest assured therefore that we will only accept a mandate if we agree there is a strong likelihood of success, which means an honest assessment of the value and structure of the deal at the outset.
